Article 1. Purpose

These terms and conditions (the "Terms") govern access to and use of the FARI service (the "Service"), published by FARI Analytics (the "Publisher"), as well as the relationship between the Publisher and any individual or legal entity using the Service (the "Client"). Any subscription to or use of the Service entails full and unreserved acceptance of these Terms.

Article 4. Description of the Service

FARI is a management layer that connects to the Client's existing tools (CRM, messaging, meeting notes). The Service analyzes exchanges, tracks and scores opportunities, detects signals and silences, prioritizes follow-ups and recommends actions. FARI does not replace the Client's CRM: it uses its data to make follow-up easier.

The Publisher may evolve the Service's features in order to improve it, provided this does not substantially degrade the subscribed services.

Article 5. Access and registration

Access to the Service requires creating an account and connecting the Client's tools. The Client undertakes to provide accurate information and to keep its credentials confidential. Any action taken from an account is deemed to be carried out by its holder.

Article 6. Financial terms

The Service is offered as a subscription, billed per user. The applicable pricing, billing frequency and payment terms are communicated to the Client at the time of subscription and are the subject of a specific agreement. Unless otherwise stated, prices are exclusive of tax. Any subscription is due for the period subscribed.

Article 7. User obligations

The Client and its Users undertake to use the Service in accordance with its intended purpose, these Terms and applicable regulations. In particular, it is prohibited to harm the security or integrity of the Service, to attempt to access it without authorization, or to use the Service for unlawful purposes.

Article 8. Intellectual property

The Service, its trademark, its interface and all of its components remain the exclusive property of the Publisher. The subscription grants the Client a personal, non-exclusive and non-transferable right of use, limited to the duration of the subscription. The Client's data (content, exchanges, business information) remains the property of the Client.

Article 9. Personal data and security

Within the scope of the Service, the Publisher acts as a processor within the meaning of the GDPR, on behalf of the Client as controller. The Publisher undertakes to:

Article 10. Availability and maintenance

The Publisher uses reasonable means to ensure the availability of the Service. Interruptions may occur for maintenance, updates or due to external causes. The Publisher strives to limit their duration and, where possible, to inform the Client.

Article 11. Liability

The Service is provided under a best-efforts obligation. The Publisher cannot be held liable for the commercial decisions made by the Client based on the Service's recommendations, nor for indirect damages. The Publisher's liability, if incurred, would be limited to the amount paid by the Client over the last twelve months.

Article 12. Term and termination

The subscription is entered into for the term agreed at the time of subscription and continues according to the terms set out. Either party may terminate under the conditions applicable to the subscription. In the event of a serious breach, the Publisher reserves the right to suspend or terminate access to the Service. At the end of the relationship, the Client may request the return or deletion of its data.

Article 13. Amendment of the Terms

The Publisher may amend these Terms. The Client is informed and continued use of the Service constitutes acceptance of the version in force.

Article 14. Governing law and disputes

These Terms are governed by French law. In the event of a dispute, the parties will endeavor to reach an amicable solution. Failing that, the dispute will be brought before the competent courts of Bordeaux.
